Outline (in English)
This course introduces general rules and transactions of the commercial law to students taking this course. The aim of this course is to help students acquire an understanding of clauses and fundamental principles of the commercial law. The goals of this course are to (1) able to obtain basic knowledge about the commercial law, (2) able to explain clauses and systems of the commercial law, (3) able to understand the relationship between the commercial law and our society.
Before/after each class meeting, students will be expected to spend four hours to understand the course content.
Your overall grade in the class will be decided based on the following, Term-end examination: 100%.

授業の概要と目的（何を学ぶか）Outline and objectives
本授業は商法総則を解説するものである。商法総則は企業法の総論的な部分であり、学生が企業に関連する他の科目（会社法等）を学ぶ上でも役立つものである。学生には、本授業を通じて商法に慣れ親しみ、会社法、手形法・小切手法、保険法等にも興味を持ってもらう。

・商法を学ぶために必要な基礎的概念や法理念を理解する。
・商法総則の条文から制度を説明できるようにする。
・商法に関心を持ち、社会に生じる問題を商法の視点から分析できるようにする。

本授業は講義形式である。初めて商法総則を学ぶ学生がほとんどであろうから、基礎的な事項をできる限り丁寧に、わかりやすく解説する。
本授業は、教室での対面授業である。フィードバックは授業内で行う。

本授業1回に付き、学生の予習時間は1時間、復習時間は3時間を目安とする。復習の際には、授業内での配布物及びテキストを熟読すること。必ず条文を参照しつつ、復習すること。

成績評価は、最終授業内の最終試験によって行う(最終試験100％)。
