Outline (in English)
【授業の概要（Course outline）】
This course introduces the purpose and outline of disclosures of corporate information by listed companies to students taking this course. It includes the disclosure system under the Financial Instruments and Exchange Act, represented by the securities report; the disclosure system under the Companies Act; the disclosure system under the stock exchange regulations; and voluntary disclosures by listed companies.
【到達目標（Learning Objectives）】
The objective of this course is to deepen understanding of disclosure practices of listed companies through analysis of actual disclosure documents and information, as well as understanding the purpose and outline of disclosure systems under the Financial Instruments and Exchange Law and Companies Act, the purpose and outline of disclosure rules of stock exchanges, and the current status of voluntary disclosure (IR) through sustainability reports, integrated reports, and other forms of disclosure. In addition, the course aims to improve students' ability to collect, analyze, and utilize information on listed companies.
【授業時間外の学習（Learning activities outside of classroom）】
Students will be expected to read the resume distributed prior to the class.
After the class, students will be expected to obtain, compare, and analyze the disclosure information of multiple listed companies under the disclosure system studied in the class.
The standard preparation and review time for this class is one hour each.
【成績評価の方法と基準（Grading Criteria /Policy）】
Grading will be decided based on in class contribution (20%) and short reports assigned twice (80%).

授業の概要と目的（何を学ぶか）Outline and objectives
この講座では、上場会社による企業情報の開示（ディスクロージャー）の主要なツールである有価証券報告書に代表される金融商品取引法に基づくディスクロージャー制度を中心に、会社法に基づくディスクロージャーや証券取引所規則に基づくディスクロージャーのほか、上場会社による自主的なディスクロージャーの趣旨・概要等について、事例を見ながら学習する。
到達目標Goal
金融商品取引法・会社法に基づくディスクロージャー制度の趣旨・概要、証券取引所のディスクロージャー・ルールの趣旨・概要及びサスティナビリティ報告書、統合報告書等による自主的なディスクロージャー（IR）の現状等について理解するとともに、実際の開示書類・開示情報を分析することによって、上場会社におけるディスクロージャー実務について理解を深めることを目標とする。加えて、上場会社に関する情報収集・分析・活用能力の向上を目指す。

上場会社によるディスクロージャーの意義や各制度の概要について学ぶ。
第2回[対面/face to face]：金融商品取引法に基づくディスクロージャー（継続開示制度①）
有価証券報告書の提出義務・記載内容等について学ぶ。
第3回[対面/face to face]：金融商品取引法に基づくディスクロージャー（継続開示制度➁）
有価証券報告書の開示事例の分析を行う。
第4回[対面/face to face]：金融商品取引法に基づくディスクロージャー（継続開示制度③）
有価証券報告書以外の継続開示書類の提出義務・記載内容等について学ぶ。
第5回[対面/face to face]：金融商品取引法に基づくディスクロージャー（発行開示制度）
有価証券の発行時のディスクロージャーについて学ぶ。
第6回[対面/face to face]：金融商品取引法に基づくディスクロージャー（公開買付制度・大量保有報告制度）
M&Aの一手段である公開買付制度及び上場株券の大量保有に関する報告制度について学ぶ。
第7回[対面/face to face]：金融商品取引法に基づくディスクロージャー（開示不正・エンフォースメント）
開示不正事例（粉飾決算等による有価証券報告書の虚偽記載等）の分析を行うとともに、開示不正に対するエンフォースメントについて学ぶ。
第8回[対面/face to face]：会社法に基づくディスクロージャー（株主総会招集通知①）
株主総会招集通知に関する制度の趣旨・概要について学ぶ。
第9回[対面/face to face]：会社法に基づくディスクロージャー（株主総会招集通知➁）
株主総会招集通知の事例の分析を行う。
第10回[対面/face to face]：証券取引所規則に基づくディスクロージャー（タイムリーディスクロージャー）
東京証券取引所が上場会社に義務づけるタイムリーディスクロージャーの制度概要について学んだ上で、事例について分析を行う。
第11回[対面/face to face]：証券取引所規則に基づくディスクロージャー（上場要件）
東京証券取引所の上場審査制度の概要を学ぶとともに、上場に際しての金融商品取引法上のディスクロージャーについても学ぶ。
第12回[対面/face to face]：上場会社のインベスター・リレーションズ（IR）
上場会社が自主的に行うＩＲ(Investor Relations)について、その目的、具体的な開示方法、開示内容等を学んだ上で、IRの事例について分析を行う。
第13回[対面/face to face]：海外のディスクロージャー制度
海外（米国・英国）のディスクロージャー制度について、我が国のディスクロージャー制度との違いを踏まえながら学ぶ。
第14回[対面/face to face]：企業情報の入手方法とその活用
企業情報の入手方法について学んだ上で、実際の上場会社を取り上げ、開示情報をもとにその上場会社のビジネスモデルを分析する。
授業時間外の学習（準備学習・復習・宿題等）Work to be done outside of class (preparation, etc.)
・準備学習：事前に配付するレジュメを授業前に読んでおくことが望ましい。
・復 習：授業において学習したディスクロージャー制度における複数の上場会社の開示情報を自ら入手し、比較・分析等を行う。
本授業の準備学習・復習時間は各1時間を標準とする。

成績評価の方法と基準Grading criteria
授業での学習状況や参加度による平常点（20点）及び第7回・第14回の授業において提示するレポート課題の成績（各40点）によって評価する。
