Outline (in English)

Course Outline: This class is suited for students interested in becoming in-house counsel of global enterprises that engage in international commercial transactions, as well as outside lawyers retained by such enterprises. For such professions, reading comprehension and drafting skills in relation to commercial contracts written in English are, of course, necessary, but problem prevention and solving skills are also equally crucial. Through this class, students will be introduced to the basic types of commercial contracts in English and learn to interpret and draft them. Through reading and drafting such contracts, students are expected to develop the ability to generate ideas for protecting the interests of one’s client and to propose contractual language that will be effective in preventing disputes (from simple interpretive discrepancies to legal actions) before they arise, and resolving disputes that actually arise, between contractual parties with opposing interests as well as differences in cultures and values.

Learning Objectives: By the end of this course, students are expected to have acquired the basic skills to: (i) read and draft the basic types of commercial contracts in English; and (ii) propose solutions to problems through contract language.

Learning Activities Outside of Classroom: Before each exercise class, students will be expected to have reviewed the previous lecture. In addition, students will be expected to complete a drafting assignment, which will be given after each exercise class. The drafting assignment are expected to be submitted prior to the next class by e-mail. The expected time for preparation and review/assignment for each class is one hour, respectively.

Grading Criteria: Grading will be decided based on Class Participation (30%), Assignments (30%) and Final Report (40%).
