Outline (in English)
Course Outline: This class is suited for students interested in becoming in-house counsel of global enterprises that engage in international commercial transactions, as well as outside lawyers retained by such enterprises. For such professions, reading comprehension and drafting skills in relation to commercial contracts written in English are, of course, necessary, but problem prevention and solving skills are also equally crucial. Through this class, students will be introduced to the basic types of commercial contracts in English and learn to interpret and draft them. Through reading and drafting such contracts, students are expected to develop the ability to generate ideas for protecting the interests of one’s client and to propose contractual language that will be effective in preventing disputes (from simple interpretive discrepancies to legal actions) before they arise, and resolving disputes that actually arise, between contractual parties with opposing interests as well as differences in cultures and values.
Learning Objectives: By the end of this course, students are expected to have acquired the basic skills to: (i) read and draft the basic types of commercial contracts in English; and (ii) propose solutions to problems through contract language.
Learning Activities Outside of Classroom: Before each exercise class, students will be expected to have reviewed the previous lecture. In addition, students will be expected to complete a drafting assignment, which will be given after each exercise class. The drafting assignment are expected to be submitted prior to the next class by e-mail. The expected time for preparation and review/assignment for each class is one hour, respectively.
Grading Criteria: Grading will be decided based on Class Participation (30％), Assignments (30％) and Final Report (40％).

授業の概要と目的（何を学ぶか）Outline and objectives
本授業は、国際的な商取引を行う企業の企業内弁護士・法務担当者や、当該企業から依頼を受けた外部法律事務所の弁護士を目指す学生に有用なものと考える。そのような職種には英文契約文書の読解能力・作成能力はもちろん、問題の回避および解決能力が求められる。受講者は、本授業を通じて、基本的な種類の英文契約文書に触れ、読解能力および作成能力を習得するだけでなく、契約上の立場のみならず文化や価値観が異なる当事者間に将来発生し得る紛争（これは単純な解釈の相違から法廷での争いまでを含めて意味する）の回避策及び実際に紛争が発生した場合の解決策を、依頼人の利益（interest）のために模索し、契約文書という「装置」を用いて提案する能力（法的な問題解決能力）を習得することを目標とする。

授業形式は、講義および演習の組み合わせを予定している。３つの基本的な種類の契約書を取り上げ、講義ではサンプル契約書（一部インターネットから取得の予定）等を用いて基本的・典型的な内容の理解を深め、英文契約文書の読解能力を身につける。演習では、まずは与えられたシナリオにおいて最適と考えられる内容の検討・ディスカッションを行うことで問題解決能力を培い、そのうえでサンプル契約書を用いて実際に文書作成（ドラフティング）を行うことで、英文契約文書の作成能力を身につける。さらに、演習後の課題を通じて実務上役立つドラフティングスキルを磨いていく。提出された課題は、次の授業内で講評する。
授業は日本語で行うが、科目の性質上、英文の読解能力・作成能力は一定程度必要となる。

授業のねらい、進め方について理解するとともに、英文契約文書の作成実務の面白さや難しさに触れる。
第2回[対面/face to face]：Non-Disclosure Agreement
Non-Disclosure Agreement（秘密保持契約（NDA））のサンプルを用いて、英文契約文書の基本的構造を学習するとともに、NDA特有の構造や内容についても学習する。
第3回[対面/face to face]：NDA 演習①（基礎編）
NDA雛形を用いて、与えられたシナリオに合わせたNDAのドラフティングを実践する。（双方向開示型・一方向開示型）
第4回[対面/face to face]：NDA 演習②（応用編）
サンプル条項を用いて、与えられたシナリオに合わせたNDAに含まれる条項のドラフティングを実践する。（三者間NDA）
第5回[対面/face to face]：Service Agreement
Service Agreement（業務委託契約）のサンプルを用いて、Service Agreement特有の構造や内容について学習する。
第6回[対面/face to face]：Service Agreement 演習①（受託者）
サンプルService Agreementを受託者の視点で検討し、修正案を作成する。
第7回[対面/face to face]：Service Agreement 演習②（委託者）
受託者より提示された修正案を委託者の視点で検討し、最終合意に向けた修正案を作成する。
第8回[対面/face to face]：Term & Termination（講義・演習）
Term（契約期間）及びTermination（解約）条項の内容及びその重要性を学習する。そのうえで、Termination Notice（解約通知）を作成する。
第9回[対面/face to face]：General Provisions
サンプルService Agreementに含まれるGeneral Provisions（一般条項）の内容について学習する。
第10回[対面/face to face]：Amendment 演習
Amendment（変更覚書）を作成する。
第11回[対面/face to face]：Basic Purchase Agreement
Basic Purchase Agreement（取引基本契約）のサンプルを用いて、Basic Purchase Agreement特有の構造や内容について学習する。
第12回[対面/face to face]：Basic Purchase Agreement 演習①（買主）
サンプルBasic Purchase Agreementを用いて、与えられたシナリオに合わせたBasic Purchase Agreementに含まれる条項のドラフティングを、買主の立場で実践する。
第13回[対面/face to face]：Basic Purchase Agreement 演習②（売主）
Basic Purchase Agreementに含まれる条項のドラフティングを、売主の立場で実践する。

これまでの学習を振り返る。
授業時間外の学習（準備学習・復習・宿題等）Work to be done outside of class (preparation, etc.)
演習の前には関連する講義内容を復習する。また、各演習後に提示されるドラフティング課題を、次の授業時までにメール（MS Wordファイル添付）にて提出する。本授業の準備学習・復習時間は各2時間を標準とする。
テキスト（教科書）Textbooks
教科書は使用せず、主に担当者が用意する資料やサンプル契約書をもとに授業を行う。
参考書References
理解の強化のために参考書も適宜併用してもらいたいが、特に指定はない。英文契約文書をテーマとした参考書は複数出版されているため、各自合ったものを選んでもらいたい。
