Outline (in English)

The objective of this class is to acquire the basic skill sets necessary for in-house counsel of global enterprises that engage in international commercial transactions, as well as outside lawyers retained by such enterprises. Reading comprehension and drafting skills in relation to commercial contracts written in English are obviously necessary, but problem prevention and solving skills are also equally crucial, as drafting of international commercial contracts requires the ability to generate ideas for protecting the interests of one’s client and to propose contractual language that will be effective in preventing disputes (from simple interpretive discrepancies to legal actions) before they arise, and resolving disputes that actually arose, between contractual parties with opposing interests as well as differences in cultures and values.
